Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by AuTeam ("we," "us," or "our"), operated by Andrés Villarreal as a sole proprietorship (persona física con actividad empresarial) based in Monterrey, Nuevo León, México, through our website auteam.io and our CRM platform at crm.auteam.io (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of Service

AuTeam provides a multi-tenant Software-as-a-Service (SaaS) platform that enables businesses ("Clients") to:

• Connect their messaging channels (WhatsApp, Facebook Messenger, Instagram Direct Messages) to a unified CRM
• Manage customer conversations from multiple channels in a single inbox
• Deploy AI-powered chatbots to automate customer interactions, qualify leads, and schedule appointments
• Track contacts, conversations, and sales opportunities

The CRM platform is powered by Chatwoot (self-hosted) and is accessible at crm.auteam.io.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Be a legally constituted business or individual with business activity (persona física con actividad empresarial)
• Have administrator access to the Facebook Pages and/or Instagram Business accounts you wish to connect
• Have the authority to bind your organization to these Terms
• Comply with all applicable laws and regulations in your jurisdiction

3. Account Registration and Security

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately at andres@auteam.io if you suspect unauthorized access to your account

4. Client Responsibilities

As a Client, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Ensure that your use of AI chatbots complies with applicable consumer protection laws and that End Users are informed they may be interacting with an automated system when required by law
• Obtain any necessary consents from your customers (End Users) before collecting and processing their data through the Service
• Comply with the Meta Platform Terms, Meta Developer Policies, and all applicable Facebook and Instagram policies
• Respond to data access, correction, and deletion requests from your End Users in a timely manner
• Not use the Service to send spam, unsolicited messages, or violate anti-spam laws
• Keep your connected Facebook Pages and Instagram accounts in compliance with Meta's Community Standards

5. Acceptable Use and Restrictions

You agree not to:

• Use the Service for any illegal, fraudulent, or harmful purpose
• Send spam, unsolicited commercial messages, or bulk automated messages that violate applicable laws or Meta's policies
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to other users' accounts, data, or any part of the Service's infrastructure
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Use the Service to collect, store, or process data in violation of applicable privacy laws (including GDPR and Mexico's LFPDPPP)
• Use Meta Platform data obtained through the Service for advertising, data brokerage, or any purpose not directly related to managing customer conversations
• Sublicense, resell, or redistribute access to the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or other malicious code

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, design, branding, AI models, documentation, and all related intellectual property, is owned by AuTeam or its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.

6.2 Your Content

You retain ownership of any content, data, or materials you upload to or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely to provide the Service to you.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

8. Compliance with Meta Platform Policies

Our Service integrates with the Meta (Facebook/Instagram) Platform. By connecting your Facebook Pages or Instagram accounts, you acknowledge and agree that:

• You must comply with the Meta Platform Terms and Meta Developer Policies at all times
• Meta may revoke access to its APIs at any time, which may affect the functionality of the Service
• We are not responsible for any changes Meta makes to its Platform, APIs, or policies that may impact the Service
• Data obtained through the Meta Platform will be used solely in accordance with Meta's policies and our Privacy Policy
• You will not request or use Meta Platform data for purposes that violate Meta's policies, including surveillance, discrimination, or unauthorized profiling

9. Service Availability and Modifications

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service
• We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible
• Scheduled maintenance will be communicated in advance when feasible
• We are not liable for any downtime, interruptions, or data loss caused by factors beyond our reasonable control

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement
• AuTeam shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill
• Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to AuTeam in the twelve (12) months preceding the claim
• We are not liable for any actions, omissions, or consequences resulting from AI-generated responses delivered through the chatbot feature. Clients are responsible for configuring, monitoring, and supervising their chatbot's behavior

11. Indemnification

You agree to indemnify, defend, and hold harmless AuTeam, its owner, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including Meta's Platform Terms
• Any content or data you process through the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting us at andres@auteam.io. Upon termination, your access to the Service will cease, and your data will be handled in accordance with our Privacy Policy.

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or any applicable law
• You violate Meta's Platform Terms or policies, putting our app's access at risk
• Your use of the Service poses a security risk or may harm other users
• You fail to pay applicable fees
• We are required to do so by law or by Meta

We will provide reasonable notice before termination when possible, except in cases of serious violations requiring immediate action.

12.3 Effect of Termination

Upon termination, all rights granted to you under these Terms will immediately cease. Sections 6, 10, 11, 14, and 15 shall survive termination.

13. Modifications to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you via email or through the Service at least 15 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Mexico, specifically the federal laws applicable in Monterrey, Nuevo León.

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

1. Good-faith negotiation: The parties shall first attempt to resolve the dispute through direct communication
2. Mediation: If negotiation fails, the parties agree to attempt mediation before a qualified mediator in Monterrey, Nuevo León
3. Jurisdiction: If mediation fails, the dispute shall be submitted to the competent courts of Monterrey, Nuevo León, México

15. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AuTeam regarding the Service
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction

Estos Términos de Servicio ("Términos") rigen el acceso y uso de los servicios proporcionados por AuTeam ("nosotros", "nos" o "nuestro"), operado por Andrés Villarreal como persona física con actividad empresarial con sede en Monterrey, Nuevo León, México, a través de nuestro sitio web auteam.io y nuestra plataforma CRM en crm.auteam.io (colectivamente, el "Servicio").

Al acceder o utilizar el Servicio, usted acepta estar sujeto a estos Términos. Si no está de acuerdo, no podrá utilizar el Servicio.

1. Descripción del Servicio

AuTeam proporciona una plataforma SaaS multi-tenant que permite a las empresas conectar sus canales de mensajería (WhatsApp, Facebook Messenger, Instagram DMs) a un CRM unificado con chatbot de IA para automatizar la atención al cliente, calificar leads y agendar citas.

2. Elegibilidad

Para usar el Servicio, debe tener al menos 18 años, ser un negocio legalmente constituido o persona física con actividad empresarial, y tener acceso de administrador a las Páginas de Facebook y/o cuentas de Instagram Business que desee conectar.

3. Responsabilidades del Cliente

Usted acepta usar el Servicio solo para fines lícitos, obtener los consentimientos necesarios de sus usuarios finales, cumplir con las Políticas de Plataforma de Meta, y no enviar spam ni mensajes no solicitados.

4. Uso Aceptable

No podrá usar el Servicio para fines ilegales, fraudulentos o dañinos; intentar acceso no autorizado; realizar ingeniería inversa del Servicio; ni usar datos de Meta para publicidad o corretaje de datos.

5. Propiedad Intelectual

El Servicio y toda la propiedad intelectual relacionada pertenecen a AuTeam. Usted conserva la propiedad de su contenido y nos otorga una licencia limitada para procesarlo dentro del Servicio.

6. Limitación de Responsabilidad

El Servicio se proporciona "tal cual". AuTeam no será responsable por daños indirectos, incidentales o consecuentes. Nuestra responsabilidad total no excederá los honorarios pagados en los 12 meses anteriores a la reclamación.

7. Terminación

Usted puede terminar su cuenta en cualquier momento contactando a andres@auteam.io. Podemos suspender o terminar su cuenta por violaciones a estos Términos o las políticas de Meta.

8. Ley Aplicable

Estos Términos se rigen por las leyes de México. Cualquier disputa se someterá a los tribunales competentes de Monterrey, Nuevo León, México.
